An Initial Public Offering (IPO) involves creating new shares that are underwritten by financial institutions like banks and then sold to public investors. This process is costly and carries hefty bank fees.
A Direct Public Offering (DPO) or direct listing does not involve creating new shares. Thus, an underwriter is not required to execute the process of going public. Instead, existing shares are sold to the public.
A DPO is cheaper than an IPO and Coinbase decided to take the direct listing route because of the low cost involved. Spotify (ticker: SPOT) was another famous company that went public via a direct listing.
